Terms of Use

These Terms govern your use of Urbyte. Urbyte independently verifies telecommunications waste and records eligible internal Data-Backed Units (DBUs). Urbyte is not a telecommunications provider, does not resell mobile data, does not access or control your mobile service, and does not claim ownership of your unused mobile data.

1. Agreement and eligibility

These Terms form an agreement between you and Urbyte Pty Ltd (ACN 692 885 019) (Urbyte, we, us or our) when you access or use urbyte.com.au, an Urbyte account or wallet, the DBU ledger, marketplace access, Givabit features or another consumer service we provide (together, the Platform).

You must be at least 18 years old and legally able to enter this agreement. If you use the Platform for an organisation, you confirm that you are authorised to bind that organisation. Separate written terms may apply to enterprise pilots and services; if those terms conflict with these Terms, the separate written terms prevail for that engagement.

2. What Urbyte provides

Urbyte provides carrier-adjacent, telco-agnostic telecommunications waste verification infrastructure. Consumer features may include:

Features and availability may differ by account, verification status, membership tier and location. Urbyte does not alter your mobile plan, obtain a refund from your carrier or transfer unused gigabytes away from your carrier account.

3. Your account

You must provide accurate, current information, maintain control of your login method and promptly tell us about suspected unauthorised access. One person may not operate multiple accounts to duplicate entries, avoid limits or obtain an unfair advantage.

You are responsible for activity carried out through your account unless caused by Urbyte's failure to take reasonable care. You must not sell, transfer or give another person access to your account.

4. Verification evidence

DBU entries depend on evidence that satisfies Urbyte's current verification requirements. Evidence may include a mobile bill, account screenshot or other carrier-issued information showing the account context, plan allowance, usage or remaining allowance, and relevant billing or expiry date.

An estimate displayed by the website or calculator is indicative only. A DBU entry is not verified until the Platform marks it as verified.

5. Verification sequence and availability

Urbyte uses a multi-cycle verification sequence to establish a consistent, auditable record. Unless the Platform states otherwise for a particular service:

Missing or ineligible evidence does not create an entitlement for that cycle. Urbyte may correct a genuine processing error where adequate evidence is supplied.

6. DBUs — Data-Backed Units

DBUs are proprietary internal platform units recorded from eligible verified telecommunications waste. They are not legal tender, deposits, stored money, cryptocurrency, securities, financial products or investments. They do not represent ownership of mobile data, a debt owed by a telecommunications provider or a guaranteed cash entitlement.

Unless the Platform expressly states otherwise:

We will not arbitrarily remove properly verified DBUs. Any material change to DBU rules will be handled under section 17 and will not limit rights that cannot legally be excluded.

7. Free access and paid marketplace tiers

Registration, eligible DBU accumulation and eligible Givabit participation are available without a paid membership. Some limited marketplace functionality may also be available on the free tier as described on the Platform. Optional Bronze, Gold or other paid tiers provide the marketplace access and limits displayed at checkout.

Before purchase, we display the price, billing frequency, included access and any material limits. By purchasing a monthly tier, you authorise the payment provider to charge the displayed fee each month until you cancel.

8. Marketplace access and fulfilment

Marketplace availability, limits and eligibility are shown on the Platform and may change as inventory, partners and campaigns change. An item is not secured until the Platform confirms the transaction.

9. Givabit directions

Givabit allows eligible members to direct DBUs toward causes or campaigns made available on the Platform. Organisations shown as aspirational, proposed or pending partners are not confirmed partners and cannot receive a completed direction until an active arrangement and campaign are shown.

A DBU direction is an instruction within the Platform. It is not a cash donation by you and is not tax deductible unless Urbyte or an eligible recipient expressly confirms otherwise and issues the documentation required by law. Once a direction has been completed and applied to a campaign, it may not be reversible.

11. Reviews, suspension and closure

We may temporarily restrict an entry or account where reasonably necessary to investigate security, evidence integrity, duplicate claims, suspected fraud, legal compliance or material breach. Where appropriate, we will provide notice and an opportunity to respond.

We may close an account for a serious or repeated breach, unlawful conduct, fraud or a security risk that cannot reasonably be resolved. We will not exercise this right arbitrarily. You may request account closure at any time. Treatment of personal information after closure is explained in our Privacy Policy.

12. Intellectual property

Urbyte and its licensors retain rights in the Platform, branding, verification methods, software, content, DBU ledger design and related intellectual property. These Terms give you a limited, personal, non-exclusive, non-transferable and revocable right to use the consumer Platform in accordance with these Terms.

You retain ownership of information and content you submit. You give Urbyte a limited permission to host, process, reproduce and use it only as reasonably required to provide, secure and improve the service and comply with law, subject to our Privacy Policy.

13. Third-party services

The Platform may use or link to telecommunications providers, payment processors, analytics services, marketplace suppliers, charities and other third parties. Their own terms and privacy practices may apply when you use their services. Urbyte is not endorsed by or affiliated with a carrier merely because that carrier can be selected or its evidence can be submitted.

14. Service availability

We aim to operate the Platform reliably but do not promise uninterrupted or error-free availability. Maintenance, security events, provider outages and circumstances outside reasonable control may affect access. We will take reasonable steps to restore affected services and will not charge for a period in which a paid service cannot be supplied where doing so would breach applicable law.

15. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy that cannot lawfully be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure with a service, you are entitled to cancel the service contract and obtain a refund for the unused portion, or compensation for its reduced value. You may also be entitled to compensation for other reasonably foreseeable loss or damage. If a failure is not major, you are entitled to have it rectified within a reasonable time and, if that does not occur, to cancel and obtain a refund for the unused portion.

16. Liability

To the extent permitted by law, Urbyte is not responsible for loss caused by your inaccurate evidence, unauthorised account sharing, failure to secure your login, a carrier's billing or service decision, or a third party acting outside Urbyte's reasonable control.

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the agreement was made. This section does not exclude liability for fraud, wilful misconduct, breach of confidentiality or privacy obligations, personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.

17. Changes to the Platform or these Terms

We may update the Platform and these Terms to reflect new features, partner arrangements, security needs, legal requirements or reasonable operational changes. We will publish the current Terms with their effective date.

For a material change that may adversely affect an existing paid member, we will provide reasonable advance notice where practicable and a reasonable opportunity to cancel before it takes effect. Changes will not operate retrospectively to remove accrued legal rights. If a change requires fresh consent by law, we will seek it.

18. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain and protect personal information. It forms part of the rules governing your use of the Platform but does not reduce any statutory privacy rights.

19. General

These Terms and any policies or checkout terms expressly incorporated into them form the agreement for the consumer Platform. If part of these Terms is unlawful or unenforceable, it will be read down or severed to the minimum extent necessary and the remainder continues.

A delay in enforcing a right is not a waiver. You may not transfer this agreement without our consent. We may transfer it as part of a genuine restructuring or sale provided this does not materially reduce your rights.

20. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the courts having jurisdiction in New South Wales, subject to any right you have under applicable consumer law to bring a claim elsewhere.

Please contact us first so we can try to resolve a concern directly. Nothing in this section prevents either party seeking urgent relief or using an external complaint or dispute-resolution process available by law.
